1. About StudyGuy

StudyGuy ("we", "us", "our") is a software-as-a-service platform that allows users to upload documents and have them converted into study guides, problem solutions, and revision materials using artificial intelligence. We are operated by [LEGAL ENTITY NAME], a company incorporated in the State of Florida, United States.

Our service is intended for personal educational use only. We are not a school, university, or accredited educational institution. We do not employ qualified teachers, tutors, doctors, lawyers, financial advisers, or any other regulated professionals, and we do not provide professional advice of any kind.

2. Eligibility and accounts

You must be at least 13 years old to use StudyGuy. At registration, you are required to provide your date of birth, which is verified against this minimum age. Accounts that do not meet the minimum age requirement are blocked from accessing the service. If you are under 18, you confirm that you have the permission of a parent or legal guardian to use this service, and that parent or guardian accepts these terms on your behalf. If you are under 18 and your parent or guardian has not in fact consented to your use of this service, you must immediately stop using the service and contact us to delete your account.

Under-13 discovery: If we discover or have reason to believe that an account belongs to a user under the age of 13 — regardless of the date of birth provided at registration — we will immediately suspend and permanently delete that account and all associated data, including uploaded files and generated study guides. We will not knowingly allow anyone under 13 to use the service. If a parent or guardian becomes aware that their child under 13 has created an account without authorisation, they should contact us immediately at the address in section 21 so that we can delete the account and data.

Withdrawal of parental consent: If a parent or guardian who consented on behalf of a user under 18 withdraws that consent, they must notify us in writing. Upon receipt of such notification, we will terminate the relevant account. We are not liable for any use of the service that occurred prior to receiving notice of withdrawal of consent.

You are also required to explicitly accept these terms and our Privacy policy by ticking the acceptance checkbox during registration. Account creation is blocked unless you tick this checkbox. We record the fact of your acceptance and the UTC timestamp at which it occurred. This record is our legal evidence of your agreement.

You are responsible for maintaining the security of your account credentials. You must not share your account with others or allow anyone else to access your account. You are responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these terms, without prior notice where necessary.

3. The service

StudyGuy allows you to upload documents (PDFs, images, and text files) which are processed using AI to produce structured study materials. The output includes summaries, key concepts, flashcard-style question-and-answer sets, worked problem solutions, and practice questions.

We do not guarantee that AI-generated content is accurate, complete, up to date, or suitable for any particular purpose. AI models can and do make mistakes, including on factual matters, mathematical calculations, scientific explanations, and legal or medical information. You must verify all outputs independently before relying on them.

We may change, suspend, or discontinue any part of the service at any time, including features, pricing tiers, or AI providers, without liability to you. Where possible, we will provide advance notice of significant changes.

Service availability: We do not guarantee that the service will be available at any particular time or continuously. The service may be interrupted for maintenance, updates, provider outages, or reasons beyond our control. We are not liable for any loss arising from service unavailability or degraded performance.

4. No professional advice

StudyGuy does not provide medical, legal, financial, psychological, academic, or any other professional advice. Nothing produced by this service — including problem solutions, explanations, or summaries — constitutes professional advice or should be treated as such.

• Medical: AI-generated content relating to biology, medicine, pharmacology, or health is for general educational purposes only. It must not be used for diagnosis, treatment, or any clinical decision. Always consult a qualified medical professional.
• Legal: AI-generated content relating to law, contracts, regulations, or legal processes is for general educational purposes only. It does not constitute legal advice and must not be relied upon in any legal matter. Always consult a qualified attorney or lawyer.
• Financial: AI-generated content relating to finance, investment, tax, or accounting is for general educational purposes only. It does not constitute financial advice. Always consult a qualified financial adviser.
• Academic: AI-generated study materials are a personal revision aid. They are not a substitute for attending classes, reading primary sources, or consulting your tutor or lecturer.

We expressly disclaim all liability for any action taken or not taken in reliance on AI-generated content produced by this service.

Hazardous or dangerous content: AI models may, in the context of processing educational or scientific documents, produce outputs that touch on topics such as chemistry, biology, pharmacology, engineering, or other fields where information could theoretically be misused. We are not responsible for any harm caused by the misuse of AI-generated content. You must not use any AI output from this service to cause harm to yourself or others. If the service produces content you believe is dangerous or inappropriate, you should disregard it and report it to us.

5. Academic integrity and your institution's rules

StudyGuy is a personal study aid. You are solely responsible for understanding and complying with the academic integrity policies, honour codes, and assessment rules of your school, college, university, or other institution.

Submitting AI-generated content as your own original work may constitute academic misconduct, plagiarism, or cheating under your institution's rules. We have no visibility into your institution's policies and cannot advise you on what is or is not permitted. If in doubt, consult your institution before using AI-generated materials in assessed work.

We accept no liability whatsoever for any academic penalty, disqualification, expulsion, grade reduction, or other consequence you suffer as a result of how you use the outputs of this service.

6. User content and uploaded files

Your responsibility: By uploading a file to StudyGuy, you represent and warrant that:

• You have the legal right to upload, share, and process that content
• You own the copyright in the material, or have a valid licence, or have a lawful basis to use it (such as fair dealing for private study under applicable copyright law)
• Uploading the material does not violate any confidentiality obligation, non-disclosure agreement, institutional rule, or third-party right
• The material is not classified, restricted, or confidential in a manner that prohibits sharing it with a third-party AI processing service

Textbooks, course packs, and proprietary materials: Uploading commercially published textbooks, licensed course materials, or content distributed under restricted terms (for example, materials marked "not for distribution" or provided under an institutional site licence) may infringe copyright. It is your responsibility to determine whether doing so is lawful in your jurisdiction. We do not screen uploaded content for copyright compliance and we are not liable for any infringement you commit.

You retain ownership of your uploaded content. By uploading, you grant us a limited, non-exclusive licence to process your content solely for the purpose of generating your study materials. We do not claim ownership of your documents and do not use them to train AI models.

Prohibited content: You must not upload:

• Content that infringes the intellectual property rights of a third party without authorisation
• Content that is unlawful, harmful, threatening, abusive, defamatory, or obscene
• Personal data of third parties without their consent
• Malicious files, scripts, or code designed to harm systems
• Live examination papers, unseen assessment materials, or any content whose upload or sharing is prohibited by your institution or an examination body
• Confidential, classified, or proprietary business information belonging to a third party

We are not responsible for the content of files you upload. All legal, academic, and contractual responsibility for uploaded content rests entirely with you.

7. Copyright complaints (DMCA / takedown)

We respect the intellectual property rights of others. If you believe that content stored on our service infringes your copyright, you may submit a written takedown notice to us at legal@studyforge.ai.

Your notice must include:

• A description of the copyrighted work you claim has been infringed
• A description of the infringing material and its location within our service
• Your contact details (name, address, email, telephone number)
• A statement that you have a good-faith belief that the use is not authorised by the copyright owner, its agent, or law
• A statement that the information in your notice is accurate, and under penalty of perjury, that you are the copyright owner or are authorised to act on their behalf
• Your electronic or physical signature

We will process valid notices promptly and remove or disable access to the infringing material where appropriate. Repeat infringers will have their accounts terminated. Submitting a false takedown notice may expose you to legal liability.

8. Indemnification

You agree to indemnify, defend, and hold harmless StudyGuy, its directors, officers, employees, contractors, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your violation of these terms
• Content you upload to the service, including any copyright infringement or breach of third-party rights
• Your violation of any academic integrity policy, institutional rule, or examination regulation
• Any reliance you or a third party places on AI-generated content produced by the service
• Your violation of any applicable law or regulation
• Any dispute between you and a third party arising from your use of the service

9. AI processing and third-party providers

StudyGuy uses third-party services to process your documents and generate study materials. By using StudyGuy, you acknowledge that data from your uploaded content may be transmitted to these providers for processing:

• Anthropic (Claude): Primary AI provider. Extracted and compressed document text is sent to Anthropic's API to generate your study guide. Anthropic processes this data under their usage policy and does not use API inputs to train models.
• Cloudflare Workers: Our pdf-vision worker may receive your PDF data to perform image-based text extraction (OCR) for documents that cannot be read as plain text. Data is processed in Cloudflare's infrastructure and is not retained beyond the processing request.
• Supabase: Database and file storage provider. Your uploaded files and generated study guides are stored in Supabase-managed infrastructure.
• Stripe: Payment processor. Handles all billing and subscription management. We do not store your payment card details.

The specific data handling practices of each provider are described in our Privacy policy. We are not responsible for the acts or omissions of third-party providers, including any errors, outages, data handling practices, or changes to their services.

We reserve the right to change, add, or remove third-party AI providers at any time to improve the service or maintain availability. We will update our Privacy policy when we do so.

10. Subscriptions and payments

StudyGuy offers a free tier and a Pro subscription. Pricing and plan details are set out on our pricing page and may change with 30 days' notice.

Pro subscriptions are billed in advance via Stripe. Your subscription renews automatically unless you cancel before the renewal date.

Cancellation: You may cancel your Pro subscription at any time by emailing support@studyforge.ai. We will process your cancellation within 24 hours. Cancellation takes effect at the end of your current billing period. We do not offer partial refunds for unused time within a billing period, except where required by applicable law.

Refunds: If you believe you are entitled to a refund under consumer protection law, please contact us within 14 days of your purchase.

Failed payments: If a payment fails, we may suspend or downgrade your account to the free tier until payment is resolved. We are not liable for any loss arising from account downgrade due to a failed payment.

11. Free tier limits

The free tier allows up to 3 study guides to be generated in total (lifetime — not per month or per year). Once that limit is reached, you must upgrade to Pro to continue. We reserve the right to adjust free tier limits with 30 days' notice.

12. Intellectual property

StudyGuy, its branding, interface design, and underlying software are owned by us and protected by intellectual property law. You may not copy, modify, distribute, or create derivative works from our platform or its components.

The AI-generated study guides produced from your uploaded content are yours to use for your own personal, non-commercial educational purposes. You may not sell, redistribute, or publish them as original work.

13. Acceptable use

You agree not to:

• Attempt to reverse-engineer, scrape, or extract data from our service in an automated manner
• Circumvent usage limits or access controls
• Resell or sublicence access to our service
• Use the service in a way that violates any applicable law or regulation
• Interfere with or disrupt the security or integrity of our systems
• Use AI outputs from StudyGuy to train or fine-tune any AI or machine learning model
• Upload content on behalf of another person without their knowledge or consent
• Represent AI-generated outputs as your own original work in any academic or professional submission
• Exploit the service in any way that imposes an unreasonable or disproportionate load on our infrastructure

14. Limitation of liability

To the fullest extent permitted by applicable law, StudyGuy, its directors, officers, employees, contractors, and agents shall not be liable for any loss or damage arising from:

• Errors, inaccuracies, hallucinations, or omissions in AI-generated content
• Reliance on AI-generated content for any medical, legal, financial, or other professional decision
• Academic penalties, disciplinary action, or loss of qualifications resulting from how you use the service
• Copyright infringement or breach of third-party rights arising from content you upload
• Loss of data, loss of access, service interruptions, or processing failures
• Acts or omissions of third-party providers (including Anthropic, Cloudflare, Supabase, and Stripe)
• Delays or failures caused by events outside our reasonable control (see Force Majeure, section 17)
• Any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind, including loss of profits, revenue, goodwill, or anticipated savings, even if we have been advised of the possibility of such damages
• Any loss arising from your reliance on the service being available at any particular time
• Any decision made on the basis of AI-generated content, regardless of the domain

Our total aggregate liability to you for any and all claims arising from or related to these terms or your use of the service shall not exceed the greater of: (a) the total amount you paid to us in the 12 calendar months immediately preceding the event giving rise to the claim; or (b) £50 GBP (or the equivalent in your local currency).

This limitation applies to all causes of action in aggregate, including breach of contract, tort (including negligence), strict liability, and any other legal or equitable theory.

Nothing in these terms limits or excludes our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited under applicable law.

15. Disclaimers

The service is provided "as is" and "as available" without any warranty of any kind, express or implied, including but not limited to warranties of accuracy, reliability, completeness, fitness for a particular purpose, title, or non-infringement.

We do not warrant that:

• AI-generated content is correct, complete, current, or free from errors or hallucinations
• The service will be available without interruption, error, or defect
• The service is suitable for use in any formal educational, professional, clinical, or assessed context
• Files you upload will be processed successfully in all cases
• Any particular AI model or processing approach will remain available

No academic results guaranteed: We make no representation that using StudyGuy will improve your academic performance, help you pass any examination, achieve any particular grade, or produce any specific educational outcome. The service is a revision aid only. Results depend entirely on your own effort, understanding, and circumstances, which are outside our control.

You use the service entirely at your own risk.

16. Suspension and termination

We may suspend or terminate your access to the service at any time, with or without notice, if we believe you have violated these terms, engaged in fraudulent activity, or posed a risk to the service or other users.

On termination, your right to use the service ceases immediately. We may delete your account data in accordance with our Privacy policy. Sections that by their nature should survive termination — including indemnification, limitation of liability, disclaimers, intellectual property, and governing law — will continue to apply.

You may terminate your account at any time by contacting us at support@studyforge.ai.

17. Force majeure

We will not be liable for any failure or delay in performing our obligations under these terms where such failure or delay results from events beyond our reasonable control, including but not limited to: acts of God; natural disasters; pandemic or epidemic; acts of government or regulatory authority; war, terrorism, or civil unrest; power outages; internet or network failures; denial-of-service attacks; failures of third-party infrastructure or services (including AI providers, cloud platforms, and payment processors); or any other cause beyond our reasonable control.

In such circumstances, our obligations will be suspended for the duration of the event. We will use reasonable efforts to resume normal service as soon as practicable.

18. Changes to these terms

We may update these terms from time to time. We will notify you of material changes by email or by displaying a notice within the service at least 14 days before the changes take effect. Continued use of the service after that date constitutes your acceptance of the updated terms.

If you do not agree to updated terms, you must stop using the service before the effective date of the changes.

19. Governing law and dispute resolution

These terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of the service shall be subject to the exclusive jurisdiction of the state and federal courts located in Florida, United States, and you consent to personal jurisdiction in those courts.

If you are a consumer resident in another jurisdiction — including the United Kingdom, European Union, or Australia — you may have additional rights under your local consumer protection laws that these terms do not override.

Before initiating formal legal proceedings, you agree to first contact us at legal@studyforge.ai and attempt to resolve the dispute informally. We will respond within 14 days of receiving notice of a dispute.

20. General provisions

Entire agreement: These terms, together with our Privacy policy, constitute the entire agreement between you and StudyGuy with respect to your use of the service, and supersede all prior agreements, representations, and understandings.

Severability: If any provision of these terms is found to be unlawful, void, or unenforceable, that provision will be severed from these terms and will not affect the validity and enforceability of the remaining provisions.

Waiver: Our failure to enforce any right or provision of these terms will not be considered a waiver of that right or provision. Any waiver must be in writing and signed by us to be effective.

Assignment: You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign or transfer our rights and obligations under these terms without restriction.

No third-party beneficiaries: These terms do not confer any rights or remedies on any third party.

Notices: All legal notices to us must be sent by email to legal@studyforge.ai. Notices will be deemed received when sent.
